Terms of Service

1. Agreement to Terms

By accessing or using the services provided by ObserveIT Technologies ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services. These Terms may be concluded electronically and are valid and enforceable in terms of the Electronic Communications and Transactions Act 25 of 2002.

2. Services

ObserveIT Technologies provides AI-driven business systems, cloud infrastructure, cybersecurity, Microsoft 365, networking, and custom software development services. The scope of work for each engagement is defined in a separate proposal, quote, or service agreement.

3. Client Obligations

You agree to: provide accurate and complete information; grant reasonable access to systems and data necessary for service delivery; make timely payments as outlined in your service agreement; and designate a point of contact for communications.

4. Intellectual Property

Unless otherwise stated in a service agreement: custom work product created specifically for you is assigned to you upon full payment; pre-existing tools, frameworks, and methodologies remain the property of ObserveIT Technologies; we retain the right to use general knowledge, skills, and techniques gained during engagements.

5. Payment Terms

Payment terms are specified in individual service agreements or quotes. Amounts unpaid after the due date may accrue interest at the prescribed rate of interest in terms of the Prescribed Rate of Interest Act 55 of 1975. We reserve the right to suspend services for overdue accounts.

6. Confidentiality & Data Protection

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the agreement. Personal information shared with us is handled in accordance with our Privacy Policy and the Protection of Personal Information Act 4 of 2013 (POPIA).

7. Consumer Protection

Where you are a "consumer" as defined in the Consumer Protection Act 68 of 2008 ("CPA"), nothing in these Terms is intended to limit any right you have under the CPA, and these Terms will be interpreted consistently with it.

8. Limitation of Liability

To the maximum extent permitted by South African law, ObserveIT Technologies' total liability for any claim arising from our services shall not exceed the fees paid by you in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate a service engagement with 30 days' written notice. Upon termination, you are responsible for payment for all services rendered up to the termination date.

10. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the South African courts.

11. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the revised Terms.
